Welcome to Vozco. Please read these Terms of Service ("Terms") carefully before using the Vozco website, progressive web application, or any associated software services (collectively, the "Service") operated by Vozco LLC ("Company", "we", "us", or "our").

By accessing or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Service.

1. Nature of the Service & Medical Disclaimer

Vozco is an educational software application, communication aid, and training tool designed for healthcare providers.

  • Not a Medical Device: Vozco is not a medical device, is not cleared or approved by the FDA, and is not a clinical decision-support system. It does not provide medical advice, diagnosis, or treatment recommendations.
  • Not a Substitute for Qualified Interpreters: The Service is not a substitute for a qualified medical interpreter as defined under Section 1557 of the Affordable Care Act (ACA), Title VI of the Civil Rights Act, or any other state or federal regulation.
  • Clinical Discretion: The Service is an auxiliary tool meant to supplement, not replace, standard institutional communication methodologies. The provider retains ultimate clinical and legal responsibility for patient communication.

2. Automated Translation & AI

You explicitly acknowledge and agree that transcriptions, translations, and linguistic outputs provided by the Service are generated automatically via artificial intelligence, automatic speech recognition (ASR), and large language models (LLMs).

  • Risk of Error: Automated outputs may contain errors, algorithmic hallucinations, omissions, regional dialect misinterpretations, or mistranslated clinical, anatomical, or pharmacological terms.
  • Mandatory Verification: The User—and not Vozco LLC—is solely responsible for independently verifying the accuracy, appropriateness, and safety of any translated content before communicating it to a patient or acting upon it in a clinical setting.

3. Acceptable Use & Restrictive Clinical Environments

To ensure patient safety and regulatory compliance, you agree to adhere to the following strict usage limitations:

  • Informed Consent: Do not use the Service as the sole or primary means of obtaining informed consent for medical procedures, surgeries, or clinical trials.
  • High-Acuity Disclosures: Do not use the Service to deliver a terminal diagnosis, end-of-life or palliative care discussion, or any other high-acuity, emotionally complex, or legally sensitive medical disclosure where institutional policy or law mandates a qualified medical interpreter.
  • Medication & Dosing: Do not use the Service to communicate critical medication dosing instructions, prescriptions, or administration frequencies without direct verification from a qualified bilingual clinician or official interpreter.
  • Compliance with Law: You represent and warrant that your use of the Service complies with all applicable federal, state, local, and institutional language-access, anti-discrimination, and healthcare compliance requirements.

4. Tiers, Billing, and Subscriptions

  • Monthly Subscriptions: Paid tiers of the Service are sold as recurring monthly subscriptions that automatically renew each billing period until cancelled. You may cancel at any time from your account settings; access to paid features continues through the end of the current paid period, and no prorated refunds are issued for partial months.
  • Payment Failures: If a payment fails or is later reversed, Vozco LLC reserves the right to suspend or revoke access to premium features after reasonable automated retry attempts via our payment processor.
  • Service Discontinuation: Vozco LLC reserves the absolute right, at its sole discretion, to modify, sunset, discontinue, or permanently take offline the Service or any of its feature modules. In the event of a permanent discontinuation, Vozco LLC will make commercially reasonable efforts to provide active subscribers with thirty (30) days' advance notice via email, cancel active subscriptions, and refund any prepaid unused portion on a prorated basis, after which all corporate obligations to host or maintain the database and software terminate completely.

5. Account Responsibilities & Prohibited Conduct

  • Security: You are responsible for safeguarding the credentials you use to access the Service and for any activities or actions under your account.
  • Prohibited Conduct: You explicitly agree that you will not, and will not permit any third party to:
    • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
    • Scrape, crawl, or harvest data, translation logs, or training decks from the Service using automated scripts or tools.
    • Resell, rent, lease, or commercially exploit the Service as a standalone white-labeled product.
    • Submit any content, data, or media that violates third-party intellectual property rights, patient privacy laws, or applicable state and federal laws.

6. Disclaimers & Limitation of Liability

  • "As-Is" Warranty: The Service is provided to you on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
  • Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Vozco LLC, its officers, directors, employees, or developers, be liable for any indirect, incidental, special, consequential, or punitive damages—including without limitation, loss of profits, data, use, goodwill, or any medical malpractice, clinical miscommunication, or adverse patient outcomes—resulting from your reliance on or use of the Service.
  • Cap on Liability: In no event shall the total aggregate liability of Vozco LLC for any claims arising under these Terms exceed the total amount actually paid by you to Vozco LLC for the Service during the twelve (12) months preceding the claim.

7. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located within the State of Wyoming.

8. Entire Agreement & Severability

These Terms constitute the entire legal agreement between you and Vozco LLC regarding the Service and supersede any prior agreements or understandings. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in full effect.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice on our website or app interface. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
